Personalised Gifts Online Terms and Conditions

1.2 'Buyer' means you.
Conditions Applicable
2.1 All orders for goods are subject to these terms and conditions.
2.2 No order shall be binding on the Seller until the Seller has accepted that order by e- mail.
2.3 The Seller may at its discretion refuse to accept any order.
2.4 All products are of limited supply and may not be available in the quantity required.
2.5 Products may be withdrawn by the Seller at any time without prior warning.

The Price and Payment
3.1 The Price shall be the price specified on soobon.co.uk at the time of completion of the order form on line by the Buyer. The price is exclusive of VAT.
3.2 Payment of the Price (and VAT if specified) shall be due at the time of placing the order. Payment is to be made by a debit or credit card.
3.3 Prices are subject to change without prior notice.

The Goods
4.1 The quantity and description of the goods shall be as set out in the buyers accepted Order Form.
4.2 All specifications, including without limitation details of weights, dimensions and colour, are approximate only and shall not be binding on the Seller.
4.3 The products shown are of limited supply and while the Seller will endeavour to satisfy a request for an order the number required may not be available. Similarly in the case of goods damaged or faulty on delivery, it may not be possible to provide replacement items, in which case the liability of the Seller shall be limited to the refund of the price of that item.

Warranties and liability
5.1 The Seller warrants that the Goods will at the time of delivery correspond to the general description given by the Seller provided that all specifications and descriptions are approximations only and should not be relied on as totally accurate.
5.2 The Seller's liability to the Buyer, whether for any breach of contract or otherwise, shall not in any event exceed the Price, and the Seller shall be under no liability for any direct loss and/or expense , or indirect loss and/or expense suffered by the Buyer or liability to third parties incurred by the Buyer.
5.3 The Seller shall not be liable for damage or deterioration of the Goods or injury to any person due to matters beyond it's control including (but not by way of limitation) unsuitability of storage conditions, detrimental conditions or neglect.

Delivery of Goods
6.1 The cost of the delivery of goods to a destination within the UK is shown at the time of order, which shall be paid by the Buyer at the time of placing the order.
Acceptance of Goods
7.1 The Goods should be examined immediately upon arrival and any apparent damage or defects reported in writing direct to the Seller within 7 days of delivery. If this period expires without the Seller receiving any intimation of rejection the Buyer shall be deemed to have accepted the goods.
7.2 No claim for non-delivery, shortages, damages or incorrect delivery will be considered, unless it is notified to the supplier in writing within 7 days of delivery.
No return of merchandise will be accepted without the Seller's previous consent.

Title and Risk
8.1 On delivery all risk in connection with the goods shall pass to the Buyer.
8.2 In spite of delivery having been made property in the Goods shall not pass from the Seller until:
8.2:1 the Buyer has paid the Price plus VAT in full; and
8.2:2 no other sums whatever shall be due from the Buyer to the Seller.

Intellectual Property
9.1 All copyright design right and other intellectual property rights in and relating to the Goods protected by copyright and trademark laws of England and Wales remain the property of the Seller.
9.2 All copyright design right and other intellectual property rights in and relating to this web site including but without limitation, the separate items of text, photographs, are the property of Soobon.co.uk and are protected by copyright and trade mark laws of England and Wales and international treaties.
9.3 As a user of the site you must not copy anything from the site nor take any step that may cause damage, disruption or expense to giftclearance.com or its suppliers or other users of the site.

Registration
10.1 It is a requirement prior to the ordering of any goods that registration is effected by completing the appropriate screen and accepting these conditions.

Indemnity
11.1 Any person, organisation or company that completes registration (* a registered user) shall indemnify soobn.co.uk , its suppliers employees and agents against any loss or expense or any action or proceedings by a third party resulting from:-
11.1;1 failure to safeguard any registration details including the password and identification details of the registered user.
11.1;2 any amendment deletion or interference with this site or breach of the Conditions by the use of a computer of a registered user.
11.1:3 any other act by a registered user or through the connection of a registered user to the detriment of the site or its users owners or suppliers.

Proper law of Contract
12.1 This contract is subject to the law of England and Wales.
12.2 All disputes arising out of this contract shall be subject to the jurisdiction of the courts of England and Wales.
